1. Acceptance of terms

By accessing or using the platform, you agree to be bound by these terms and conditions. If you do not agree to these terms, you must not use the platform. We may update these terms from time to time; continued use after changes constitutes acceptance of the revised terms. Material changes will be communicated via the platform or by email where appropriate.

2. Description of service

Quduratech provides an AI-powered content production and learning platform (the "Service") that allows authorized users to create, manage, review, and deliver learning and training content. The Service may include web applications, APIs, integrations (including LTI), and related documentation. Availability and features are subject to the plan or agreement under which you access the Service.

3. Use of the platform

You must use the platform only in accordance with these terms and any applicable laws and regulations. You agree not to: (a) use the platform for any illegal or unauthorized purpose; (b) attempt to gain unauthorized access to any part of the platform, other accounts, or related systems; (c) interfere with or disrupt the integrity or performance of the platform; (d) use the platform to distribute malware, spam, or harmful content; (e) scrape or automate access in a manner that violates our policies or places undue load on our systems; or (f) sublicense, resell, or commercially exploit the platform except as expressly permitted by your agreement with us.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.

4. Intellectual property

The platform, including its software, design, text, graphics, and other materials (excluding content you upload or create), is owned by Quduratech or its licensors and is protected by intellectual property laws. You do not acquire any ownership rights by using the platform. You retain ownership of content you create or upload; by submitting content, you grant us a limited license to host, store, process, and display it as necessary to provide and improve the Service and in accordance with our Privacy Policy.

5. Data and privacy

Our collection and use of personal and usage data are described in our Privacy policy. By using the platform, you consent to such processing. You are responsible for ensuring that any personal data you provide or process through the platform is done in compliance with applicable data protection laws.

6. Disclaimers

The platform is provided "as is" and "as available." We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We disclaim all warranties, express or implied, to the maximum extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated or AI-assisted content is not guaranteed for accuracy or suitability; you are responsible for reviewing and approving all content before use.

7. Limitation of liability

To the maximum extent permitted by applicable law, Quduratech and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the platform or these terms. Our total liability for any claims arising from or related to the platform or these terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or, if no fee was paid, one hundred United States dollars). Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the fullest extent permitted by law.

8. Indemnification

You agree to indemnify and hold harmless Quduratech and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the platform, your content, your violation of these terms, or your violation of any third-party rights or applicable law.

9. Termination

We may suspend or terminate your access to the platform at any time for breach of these terms, for non-payment where applicable, or for any other reason we deem necessary. You may stop using the platform at any time. Upon termination, your right to access and use the platform ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

10. Governing law and disputes

These terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions. Any dispute arising from or relating to these terms or the platform shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia, unless otherwise required by mandatory law.
